The merger agreement was conditioned on the approval by stockholders of the two companies of proposals required by the terms of the agreement. The companies convened stockholder meetings in May for the year ended December 31, 2025 and all of the necessary proposals were approved by stockholders,4 filed with thereby satisfying this condition of the merger agreement. There have been no other material changes in risk factors from those identified in the Form 10-K.
